Exchange 2003 to Exchange 2010 under same DC

Hi there!

our status is:

1 Domain controller (win2008serverx64). 

1 Exchange server (OS: win2003server x32, Exch2003EnterpriseSP 2x32) EX1

The exchange is populated. It's configured in front-end with an apache.

our intention is:

to create another Exchange Server (OS: win2008R2server x64, Exch2010SP1) EX2 under the same domain. After deployment we intend to migrate all contents from EX1 to EX2. Then do disable and eliminate EX1 in order to keep EX2 as the only Exchange server.

So far we have the EX2 OS in place. AD is an win2008

Questions are:

1. How o create another Exchange Server (OS: win2008R2server, Exch2010SP1) EX2 under the same domain?

2. How to migrate all contents from EX1 to EX2 ?

3. What to do to eliminate EX1 in order to keep EX2 as the only Exchange server?
