problem migrating DC from standard server 2003 to 2008R2

trying to help my tech with a problem migrating DC from standard server 2003  to standard server 2008R2.  Any thoughts or suggestions are appreciated!

Firewalls off on both machines.

When attempting to reach the DC in server2003 "server is offline" error message appears.

Ran dcdiag in server2003:

            'dcdiag' is not recognized as an internal or external command... etc.

Ran dcdiag on Server2008:

Directory Server Diagnosis:

Performing initial setup

trying to find home server...

Home Server = server2008

* Identified AD Forest

Done Gathering initial info.

Doing intial required tests:

   Testing server:  Default-First-Site-Name\server2008

            Starting test : Connectivity

                       The host 9a4c92xxxxxxxx._msdcs.domain.local could not be resolved to an IP address

                       .............server2 failed test Connectivity

Doing Primary Tests:

            Testing Server: Default-First-Site-Name\Server2

                       Skipping all tests because Server2008 is not responding to directory service requests

Schema: tests passed

Configuration:  passed

Domain:  passed

               A Primary Domain Controller cound not be located.

             Warning:  DcGetDcName(TIME_SERVER) call failed, error 1355

               A time server could not be located

              The server holding the PDC role is down
